There are several organizational forms available when starting a new company.
Having decided to register a business in the USA, you can choose one of the following organizational structures:
- LLC (limited liability company) – taxes are paid by the participants, not the company itself, and if there is one beneficiary, there is no need to file financial statements;
- C-corporation – implies double taxation, for the company itself and for shareholders who pay taxes on dividends received;
- An S corporation is a business with up to a hundred shareholders that can operate in one state.
Only an American citizen can become an individual entrepreneur (sole owner of a business) or the owner of an S-corporation, that is, a non-resident can open a company in the United States in the form of an LLC or a C-corporation.
You need to choose an organizational form based on the size of the business, the number of owners, whether they have American citizenship, and their preferred taxation option. When planning to open a business in the USA, it is wise to get detailed advice from experts: this will help you avoid mistakes.
